1. Introduction
Welcome to Koltena ("Platform"), a blockchain-based gaming team management and tokenization interface developed and operated by Miew ("Company", "we", "us", "our"), located in Porto, Portugal.
By accessing and connecting your wallet or social account, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, including the mandatory arbitration and class action waiver provisions, you must not use the Platform.
2. The Services
Koltena provides a web-based interface that allows users to interact with decentralized smart contracts on the Base (Coinbase L2) and Ethereum blockchains. The Platform enables users to:
- Create and manage Gaming Team profiles.
- Mint and distribute Fractionalized Non-Fungible Tokens ("F-NFTs").
- Participate in team governance via voting.
- Link external gaming identities (Steam, Discord).
IMPORTANT DISTINCTION: Miew provides the interface. We do not have custody of your assets, we do not control the Base blockchain, and we cannot undo, reverse, or restore transactions once executed on-chain.
3. Eligibility & Registration
- Age: You must be at least 18 years old to use Koltena.
- Account Creation: You can access the platform via Web3 Wallet (e.g., MetaMask) or Social Login (Google, Discord).
- Security: You are solely responsible for securing your wallet's private keys, seed phrases, and social login credentials. If you lose access to your account, you will lose access to your assets forever. We cannot recover them.
4. Gaming & Social Integrations (Steam, Discord, Google)
- Data Accuracy: By linking your Steam or Discord account, you represent that these accounts belong to you.
- Third-Party Rules: Your use of these integrations is subject to the Terms of Service of Valve (Steam), Discord Inc., and Google.
- No Affiliation: Koltena is not endorsed by, directly affiliated with, or sponsored by Valve Corporation (Steam) or Discord.
5. Virtual Assets (F-NFTs) & Waiver of Withdrawal
Utility Only:
Team Tokens (F-NFTs) created on Koltena are designed for governance, membership, and fan engagement. They are not investment contracts, securities, or financial instruments.
No Expectation of Profit:
You agree that you are purchasing or minting tokens solely for their utility within the gaming team, without expectation of profit, dividends, or appreciation in value.
WAIVER OF RIGHT OF WITHDRAWAL (EU CONSUMER LAW):
BY AGREEING TO THESE TERMS AND INITIATING ANY TRANSACTION (MINTING, BUYING, OR TRANSFERRING ASSETS) ON THE PLATFORM, YOU EXPRESSLY CONSENT TO THE IMMEDIATE SUPPLY OF THE DIGITAL CONTENT. YOU ACKNOWLEDGE AND AGREE THAT YOU THEREBY LOSE YOUR RIGHT OF WITHDRAWAL (THE 14-DAY COOLING-OFF PERIOD) GRANTED UNDER EU CONSUMER DIRECTIVES. ALL BLOCKCHAIN TRANSACTIONS ARE FINAL AND NON-REFUNDABLE.
6. User Conduct
You agree NOT to:
- Use the platform for money laundering, terrorist financing, or sanctions evasion.
- Engage in "wash trading" (buying your own tokens to artificially inflate volume/price).
- Upload content (Team Logos/Names) that infringes on copyright or promotes hate speech.
- Attempt to hack, reverse engineer, or disrupt the Platform's backend (.NET APIs) or smart contracts.
7. Fees and Payments
- Gas Fees: All transactions require "Gas" (ETH on Base). This fee is paid entirely to the blockchain network validators. Miew does not receive or control these fees.
- Platform Fees: Koltena may automatically deduct a percentage from certain transactions (e.g., primary mints) as a service fee encoded in the smart contract. These fees are non-refundable.
8. Risks of Web3 & Data Immutability
By using Koltena, you acknowledge and accept the following risks:
IMMUTABLE DATA WARNING:
You understand that blockchain transactions are public and permanent. You agree NOT to input any Personal Data (such as real names, home addresses, or phone numbers) into transaction data fields, smart contract arguments, or token metadata. Miew cannot erase, edit, or obfuscate data once it is committed to the blockchain, and such data falls outside the scope of our ability to fulfill GDPR "Right to Erasure" requests.
- Volatility: The value of crypto assets can drop to zero.
- Smart Contract Risk: Software may contain bugs or vulnerabilities.
- User Error: Sending tokens to the wrong address is irreversible.
9. Limitation of Liability & Force Majeure
To the maximum extent permitted by Portuguese law:
- Service Availability: The Platform relies on the Base Network. We are not responsible for any losses caused by Base network downtime, sequencer failures, bridge delays (ETH <-> Base), or censorship by network operators.
- Regulatory Classification: The F-NFTs are classified by the Company as "Utility Tokens". If regulatory bodies (such as the CMVM) reclassify these assets, the Company reserves the right to freeze specific features (like trading) to comply with the law without liability to you.
- Liability Cap: Miew shall not be liable for indirect, incidental, or consequential damages. Our total liability to you for any claim shall not exceed the amount of fees you paid specifically to us (excluding gas fees) in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Miew, its directors, and employees from any claims or demands made by any third party due to your violation of these Terms, your misuse of the Platform, or your violation of any law or the rights of a third party.
11. Governing Law & Dispute Resolution
- Jurisdiction: These Terms shall be governed by the laws of Portugal.
- Dispute Resolution: Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of Porto, Portugal.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes via the Platform or Discord. Continued use of the Platform after changes constitutes acceptance of the new Terms.
